1. Services
Diligence AI is an AI Development Agency that provides the following services:
- AI-powered MVP development
- Custom AI solution development
- AI integration and consulting
- Software development services
All services are provided remotely on a project basis. Specific deliverables, timelines, and requirements will be outlined in individual project proposals or agreements.
2. Payment Terms
2.1 Payment Structure
Unless otherwise agreed in writing, our standard payment structure is:
- 50% upfront – Due before project commencement
- 50% on completion – Due upon delivery of final deliverables
2.2 Payment Methods
Payments can be made via bank transfer, UPI, or other methods as agreed upon. International clients may use wire transfer or other approved payment processors.
2.3 Late Payments
Work may be paused if payments are not received within 7 days of the due date. We reserve the right to withhold deliverables until outstanding payments are cleared.
3. Intellectual Property
3.1 Ownership
Upon full payment, the client owns all rights to the custom code, designs, and deliverables created specifically for their project. This includes:
- Source code developed for the project
- Custom designs and assets
- Documentation created for the project
3.2 Exceptions
The following remain the property of Diligence AI:
- Pre-existing code, libraries, or frameworks we bring to the project
- General knowledge, skills, and techniques
- Open-source components used in the project (subject to their respective licenses)
3.3 Portfolio Rights
We reserve the right to display completed work in our portfolio and marketing materials unless explicitly prohibited in writing by the client.
4. Project Scope & Revisions
4.1 Scope
Project scope will be defined in the project proposal or statement of work. Any changes to the scope may require additional time and cost, which will be communicated before implementation.
4.2 Revisions
Each project includes 2 rounds of revisions within the agreed scope. Additional revisions beyond this may incur extra charges at our standard hourly rate.
5. Timeline & Delivery
Project timelines are estimates and depend on various factors including:
- Timely feedback and approvals from the client
- Availability of required materials and information
- Complexity of requirements
We will communicate any anticipated delays promptly and work to minimize their impact.
6. Client Responsibilities
Clients are expected to:
- Provide clear and complete project requirements
- Respond to communications in a timely manner
- Provide necessary access, credentials, and materials
- Review and provide feedback on deliverables promptly
- Make payments as agreed
7. Confidentiality
We treat all client information as confidential. We will not disclose project details, business information, or any sensitive data to third parties without explicit consent, except as required by law.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability is limited to the amount paid for the specific project
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for issues arising from third-party services, APIs, or platforms
- Software is provided "as is" after acceptance, and we are not liable for issues arising from client modifications
9. Warranties
We warrant that:
- Work will be performed in a professional manner
- Deliverables will substantially conform to agreed specifications
- We have the right to provide the services offered
We do not warrant that software will be error-free or uninterrupted, or that it will meet all business objectives.
10. Termination
Either party may terminate the engagement with written notice. Upon termination:
- Client pays for all work completed up to the termination date
- Refunds are handled per our Refund & Cancellation Policy
- Any materials or access provided must be returned or revoked
11. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
12. Changes to Terms
We may update these Terms & Conditions from time to time. Significant changes will be communicated via email or our website. Continued use of our services after changes constitutes acceptance.
